This website is published by Masico Advisory Proprietary Limited (“Masico Advisory”, “we”, “us” or “our”), a private company duly incorporated in accordance with the laws of the Republic of South Africa, with company registration number 2020/563081/07. By accessing or using this website, you agree to be bound by these terms and by our disclaimer set out below. If you do not agree with any part of these terms, please do not use this website.

These terms apply in addition to, and do not replace, the specific written terms of engagement or mandate that will govern any actual assignment, transaction or matter on which you formally engage Masico Advisory. Where there is a conflict between these terms and a signed engagement letter or mandate, the engagement letter or mandate will prevail in respect of that engagement.

Masico Advisory is a boutique advisory firm offering integrated Corporate Finance, Legal Advisory and Strategy Consulting services. Our work is comparable in nature to the M&A advisory arm of an investment bank, or to the work of a management strategy consulting firm – we advise clients on transactions, valuations, strategy, and corporate and commercial legal matters. We do not take deposits, extend credit, deal in financial instruments for our own account, or provide any of the other regulated activities typically associated with a bank or a licensed financial institution.

Masico Advisory is domiciled in the Republic of South Africa. Unless expressly agreed in writing with you by Masico Advisory, nothing on this website is directed at, or intended for, persons in any other jurisdiction, and this website should not be relied upon by any person located outside South Africa without such express written consent by Masico Advisory.

Masico Advisory is not required to be, and therefore is not, regulated by the Prudential Authority, the Financial Sector Conduct Authority, the South African Reserve Bank, or any other financial services or banking regulator in South Africa.

Nothing on this website, and no report, presentation, valuation, model, or other material prepared or issued by Masico Advisory, constitutes “advice” as defined in the Financial Advisory and Intermediary Services Act, 37 of 2002 (“FAIS Act”), or any other financial, investment, trading, tax, actuarial, retirement or accounting advice or service of any kind. Masico Advisory does not render, and does not hold itself out as rendering, financial advisory or intermediary services in respect of any financial product as those terms are used in the FAIS Act. We are not financial advisors to individuals, and exclusively advise companies and corporates on their contemplated strategic decisions.

Our corporate finance and strategy services are advisory in nature – comparable to the advisory (as opposed to lending, deposit-taking, trading, or asset management) functions of an investment bank, or to general management and strategy consulting – and are provided on that basis only. Any pricing, valuation range, or financial illustration referred to on this website or in any Masico Advisory material is indicative only, does not constitute a formal valuation opinion unless expressly stated and delivered as such under a signed engagement with Masico Advisory directly, and is not binding on Masico Advisory.

This website is not, and nothing on it should be construed as, a prospectus, an offer, or a solicitation of an offer, to buy or sell any security, financial product, or investment, nor an invitation to enter into any agreement of any nature with Masico Advisory, whether in South Africa or anywhere else.

Masico Advisory is not required to be a registered law firm and therefore is not registered, or required to be registered, with the Legal Practice Council (“LPC”) as a law firm. Our legal-focused advisory services are provided as legal consulting services, distinct from the legal practices that are required by law to be conducted through a law firm (e.g. representation in court on a client’s behalf for formal litigation).

The individuals who provide our legal-focused services are, at a minimum, qualified and admitted attorneys of the High Court of South Africa. However, in providing services through Masico Advisory, they do so in their capacity as legal consultants and not as “practising” attorneys rendering services through a law firm. Accordingly, Masico Advisory does not provide, and this website should not be understood as offering, any “reserved legal service” (as that concept is understood under South African legal practice regulation) that may, by law, only be performed by a practising attorney acting through a law firm registered with the LPC – including, without limitation, appearing on behalf of a client in litigation before a court or tribunal, conveyancing, notarial work, or the administration of deceased or insolvent estates.

Our legal consulting services are limited to general corporate, commercial and transactional legal advisory work (such as structuring advice, contract and agreement drafting and review, and related consulting) of the kind commonly provided by in-house counsel, boutique legal consultancies, and corporate legal advisory divisions operating alongside, but separately from, traditional law firms in South Africa. Where a matter requires services that may only lawfully be rendered by a law firm or a practising attorney acting as such, Masico Advisory will refer you, and/or work alongside, an appropriately admitted and practising attorney or law firm for that purpose.
